1. Introduction

These Terms and Conditions govern access to and use of:

• The Dew Bright Solution website at www.dbsolution.pro;

• Dew Bright sample activities;

• Free pilot programmes;

• Educational resources, teacher guides and implementation tools;

• Institutional licences; and

• Related support and services.

In these Terms, “Dew Bright,” “we,” “us” and “our” refer to Dew Bright Solution.

“Institution” means the school, educational organisation, school network or other entity requesting, purchasing or using Dew Bright resources.

“Authorised User” means a teacher, school leader or other member of staff permitted to use the resources on behalf of a participating or licensed Institution.

Please read these Terms before requesting a pilot, purchasing institutional access or using Dew Bright resources.

2. Acceptance of These Terms

An Institution accepts these Terms when an authorised representative:

• Selects a checkbox confirming acceptance;

• Requests and receives a Dew Bright pilot under these Terms;

• Purchases or accepts an institutional licence;

• Signs or electronically accepts an order, proposal or licence agreement referencing these Terms; or

• Uses resources after being given notice that the resources are provided subject to these Terms.

The person accepting these Terms on behalf of an Institution confirms that they:

• Are at least 18 years old;

• Have authority to act for the Institution; and

• Have authority to bind the Institution to these Terms.

If you do not agree to these Terms or do not have the required authority, you must not request, purchase or use Dew Bright resources on behalf of an Institution.

Merely browsing the public website does not create an institutional licence or purchase obligation.

3. Website and Sample Activities

Dew Bright may make selected activity samples, descriptions, images or previews publicly available.

These materials are provided for professional review and evaluation. They may not be:

• Resold;

• Republished;

• Uploaded to another website;

• Distributed as part of another resource;

• Presented as the work of another person or organisation; or

• Used to reconstruct or reproduce the complete Dew Bright system.

Public samples do not grant access to the full system or create an institutional licence.

We may update, replace or withdraw website content and public samples at any time.

4. Free Pilot Programme

4.1 Eligibility and selection

The Dew Bright pilot is available only to eligible schools and educational institutions.

Submitting a request does not guarantee acceptance. We may verify institutional details and decline requests that:

• Cannot be reasonably verified;

• Contain inaccurate or incomplete information;

• Do not represent an educational institution;

• Appear fraudulent or abusive; or

• Present a risk of unauthorised distribution.

4.2 What the pilot includes

Accepted Institutions may receive:

• Nine selected classroom activities;

• Practical teacher guidance;

• Relevant implementation instructions; and

• Access to brief professional feedback tools.

The exact contents and pilot period may be stated in the pilot materials or accompanying email.

4.3 Pilot commitment

The pilot is provided free of charge in exchange for genuine professional evaluation.

The participating Institution agrees to make a reasonable effort to:

• Nominate an appropriate teacher;

• Try at least one pilot activity in a classroom;

• Use the activity in accordance with the supplied guidance; and

• Provide brief, honest professional feedback through the designated feedback method.

Feedback does not need to be positive and does not constitute an endorsement or purchase commitment.

4.4 No purchase obligation

Participation in the pilot:

• Does not require payment of a licence fee;

• Does not require the Institution to purchase the complete system;

• Does not create an automatic subscription or renewal; and

• Does not authorise Dew Bright to identify the Institution publicly without permission.

4.5 Pilot licence

Pilot resources are provided under a limited, non-exclusive, non-transferable and revocable licence for internal evaluation by the accepted Institution.

Unless we agree otherwise in writing, the Institution may:

• Provide the materials to staff directly involved in the pilot;

• Display the activities to participating students during supervised lessons;

• Print reasonable classroom copies where necessary; and

• Make ordinary classroom adjustments to prompts, timing or grouping.

The Institution may not:

• Share the pilot with another school, campus or organisation;

• Post the materials publicly;

• Upload them to a publicly accessible website, group or marketplace;

• Resell, sublicense or commercially exploit them;

• Remove copyright or ownership notices; or

• Use them to create a competing resource or product.

5. Institutional Licences

5.1 Licence documents

Paid institutional access may be governed by:

• A proposal;

• Quotation;

• Invoice;

• Order form;

• Licence notice;

• Written agreement; or

• Other written confirmation issued by Dew Bright.

These documents are collectively referred to as an “Order.”

The Order should identify the relevant Institution, licensed resources, price, licence duration, permitted campuses and any additional conditions.

5.2 Default licence scope

If the Order does not state otherwise, the licence is limited to:

• One named Institution;

• One physical school campus;

• Teachers, leaders and authorised staff employed or formally engaged by that Institution; and

• Students taught by those Authorised Users under their supervision.

A licence for one Institution does not automatically extend to:

• Sister schools;

• Additional campuses;

• School groups or networks;

• Franchise locations;

• External tutors;

• Partner organisations; or

• Independent contractors working for other institutions.

Additional access may be arranged in writing.

5.3 Permitted institutional use

During the applicable licence period, Authorised Users may:

• Use the resources in lessons at the licensed Institution;

• Display activities on classroom screens or boards;

• Print reasonable copies for internal classroom use;

• Adapt prompts, timing, grouping and response formats for their learners;

• Use the Teacher Guide and observation tools for internal professional purposes; and

• Store one reasonable internal backup copy in a secure location.

Classroom adaptation does not transfer ownership of the underlying activity, structure, wording, design or methodology.

5.4 Prohibited uses

Neither an Institution nor an Authorised User may, without prior written permission:

• Sell, sublicense, rent or commercially distribute the resources;

• Share them with an unlicensed institution or campus;

• Upload them to a public website, marketplace, social-media group or public file-sharing service;

• Publish complete resources on an unrestricted learning-management system;

• Remove or obscure copyright, trademark or ownership notices;

• Claim authorship or ownership;

• Repackage the materials as another product, curriculum, book or training programme;

• Reproduce a substantial part of the system to create a competing product;

• Extract activities for independent commercial training;

• Use the resources as a dataset for training or developing an artificial-intelligence or content-generation system;

• Upload substantial portions of the resources to a generative-AI system for reproduction or transformation; or

• Circumvent technical or access restrictions.

Password-protected internal storage is permitted only where access is limited to Authorised Users at the licensed Institution.

6. Intellectual Property

All rights, title and interest in Dew Bright materials remain with Dew Bright Solution and the relevant creator or rights holder.

Protected materials include:

• Activity concepts and written instructions;

• Teacher guides;

• Implementation models;

• Observation and reflection tools;

• Curriculum matrices;

• Standards mappings;

• Visual designs and templates;

• Logos, names and trademarks;

• Website text and images; and

• The selection, structure and organisation of the system.

Purchasing access grants a limited licence to use the materials. It does not transfer copyright, trademark rights, ownership or the right to create derivative commercial products.

“Dew Bright,” “Dew Bright Solution,” “Dew Bright Elementary,” “Think Beyond Answers” and associated branding may not be used in a way that suggests endorsement, partnership or ownership without written permission.

7. Delivery and Access

Resources are normally delivered electronically through email, download link, online access or another stated method.

Delivery is considered complete when:

• The resources or access instructions are sent to the email address supplied by the Institution;

• A functioning download or access link is provided; or

• Access is otherwise made available as agreed.

The Institution is responsible for:

• Providing an accurate institutional email address;

• Maintaining appropriate access security;

• Preventing unauthorised distribution; and

• Informing us promptly of an access or delivery problem.

If a technical problem prevents access, the Institution should contact us so that we can reasonably investigate and restore delivery.

8. Prices, Payment and Taxes

Prices for institutional licences are provided through a quotation, proposal, invoice or Order.

Unless stated otherwise:

• Prices are expressed in the currency shown in the Order;

• Payment is due by the date stated on the invoice;

• The Institution is responsible for bank, currency-conversion and transfer charges imposed by its own providers;

• Applicable taxes, duties or withholding obligations are the responsibility of the party legally required to pay them; and

• Access may be delayed or suspended if payment is overdue.

We may change prices for future Orders. A price change does not alter a licence already purchased and paid for unless both parties agree in writing.

9. Refunds and Cancellation

Because Dew Bright resources are digital and can be accessed or copied immediately after delivery, fees are generally non-refundable once the licensed materials or access instructions have been delivered.

A refund, replacement or other remedy may be provided where:

• Required by applicable law;

• The wrong resource was delivered;

• A verified technical problem prevents access and cannot reasonably be corrected; or

• Dew Bright agrees to a remedy in writing.

An Institution should report a delivery or access problem promptly after receiving the resources.

There is no automatic renewal unless an Order expressly states otherwise. Where renewal is offered, the renewal conditions must be communicated before the new licence period begins.

10. Professional Responsibility and Classroom Use

Dew Bright resources are designed to support teaching, creative thinking, reasoning, communication and student engagement.

They do not replace:

• Teacher professional judgement;

• School safeguarding procedures;

• Curriculum requirements;

• Individual learning accommodations;

• Behaviour-management policies; or

• Advice from appropriately qualified educational, medical or psychological professionals.

The Institution and its teachers remain responsible for:

• Selecting age-appropriate activities;

• Supervising students;

• Adapting delivery to learner needs;

• Maintaining a safe and inclusive environment; and

• Complying with applicable school policies and laws.

Dew Bright does not guarantee particular academic, behavioural or developmental outcomes.

11. Student Data and Safeguarding

The pilot and standard institutional resources do not require schools to provide student personal data to Dew Bright.

Institutions must not submit student names, photographs, contact information, medical information, assessment records or other identifiable student data unless this has been specifically agreed and is lawful.

If student data is submitted unintentionally, Dew Bright may delete, anonymise or restrict it and contact the Institution where appropriate.

The Institution remains responsible for obtaining any necessary permissions and complying with its own safeguarding and privacy obligations.

12. Feedback and Testimonials

Feedback provided through a pilot or institutional implementation may be used to:

• Improve activities and guidance;

• Evaluate practical usability;

• Identify common implementation challenges; and

• Produce anonymised or aggregated observations.

The Institution retains ownership of its original feedback.

By submitting feedback, the Institution grants Dew Bright a non-exclusive, royalty-free licence to use that feedback internally for evaluation, improvement and development.

Dew Bright will not publicly identify an Institution or individual educator in a testimonial, case study, advertisement or promotional publication without separate permission.

13. Privacy

Personal data is handled in accordance with the Dew Bright Solution Privacy Policy and Personal Data Protection Notice.

Acceptance of these Terms does not constitute consent to receive unrelated promotional marketing.

Where marketing consent is required, it will be requested separately and may be withdrawn at any time.

14. Availability and Third-Party Services

We aim to keep the website and digital resources reasonably available, but uninterrupted access cannot be guaranteed.

Access may be affected by:

• Maintenance;

• Hosting or internet interruptions;

• Email filtering;

• Third-party platform failures;

• Cybersecurity incidents;

• Events beyond our reasonable control; or

• Changes needed to protect the website or resources.

The website may contain links to independent third-party platforms. Dew Bright is not responsible for their content, availability, security or separate terms.

15. Suspension and Termination

Dew Bright may suspend or terminate access where an Institution or Authorised User:

• Materially breaches these Terms;

• Fails to pay an undisputed amount when due;

• Shares resources outside the licensed Institution;

• Uses the materials unlawfully;

• Infringes intellectual-property rights;

• Provides materially false institutional information; or

• Creates a material security or misuse risk.

Where the breach can reasonably be corrected, we may provide an opportunity to remedy it before termination.

An Institution may stop using the resources at any time, but stopping use does not automatically create a right to a refund.

On expiry or termination:

• The licence ends;

• The Institution must stop using the affected materials;

• Unauthorised or expired digital copies must be deleted where required;

• Outstanding payment obligations remain payable; and

• Provisions concerning intellectual property, confidentiality, liability, disputes and accrued rights continue to apply.

16. Disclaimer of Warranties

Dew Bright will use reasonable care to provide the resources materially as described.

However, to the maximum extent permitted by law:

• Resources are provided for professional educational use;

• We do not guarantee uninterrupted website availability;

• We do not guarantee that every activity will be suitable for every student, class or curriculum;

• We do not guarantee specific learning, commercial or institutional outcomes; and

• Implied warranties are excluded where they may lawfully be excluded.

Nothing in these Terms excludes a warranty or right that cannot legally be excluded.

17. Limitation of Liability

To the maximum extent permitted by law, Dew Bright will not be liable for:

• Indirect or consequential loss;

• Loss of revenue, opportunity, anticipated savings or reputation;

• Decisions made by an Institution or teacher;

• Student behaviour or classroom-management incidents;

• Use of resources outside the supplied guidance;

• Unauthorised sharing by an Institution or Authorised User; or

• Failures caused by independent third-party services.

Dew Bright’s total aggregate liability arising from a paid licence will not exceed the fees paid for the affected resources during the 12 months preceding the event giving rise to the claim.

For a free pilot or other free service, Dew Bright’s total aggregate liability will not exceed USD 100, to the extent such a limitation is permitted by law.

These limitations do not apply to fraud, wilful misconduct or liability that cannot lawfully be limited.

18. Force Majeure

Neither party will be liable for delay or failure caused by circumstances beyond its reasonable control, including:

• Natural disasters;

• War, civil unrest or government action;

• Internet or telecommunications failure;

• Widespread cyber incidents;

• Power failure;

• Epidemic or public-health emergency;

• Labour disruption; or

• Failure of a critical third-party platform.

The affected party should make reasonable efforts to minimise the disruption and resume performance.

19. Changes to Resources and Terms

We may improve, update or replace activities, guidance, website content and implementation tools.

We may also update these Terms to reflect:

• Changes to our services;

• New legal requirements;

• Security needs;

• New delivery methods; or

• Clarifications to existing provisions.

Updated website Terms apply from the stated effective date.

A material change to these Terms will not retrospectively alter a fully paid existing institutional licence unless:

• The change is required by law;

• It is necessary to address a material security or misuse risk; or

• The Institution agrees to it.

20. Order of Precedence

If documents conflict, the following order applies unless expressly agreed otherwise:

1. A signed institutional licence agreement;

2. An accepted Order, proposal or quotation;

3. These Terms and Conditions;

4. General website descriptions or promotional materials.

Special terms agreed in writing for a particular Institution take priority over the corresponding general provision in these Terms.

21. Electronic Communications

The parties agree that proposals, Orders, invoices, acceptance records, notices and other communications may be delivered electronically.

Electronic acceptance, including acceptance through a checkbox, email confirmation or electronic Order, may be used as evidence of agreement to the extent permitted by applicable law.

The Institution is responsible for keeping its institutional contact information current.

22. Governing Law and Disputes

These Terms are governed by the laws of Vietnam, without prejudice to any mandatory rights or protections that cannot legally be excluded.

If a dispute arises, the parties will first attempt to resolve it through good-faith written discussion.

If the dispute is not resolved within 30 days after written notice, either party may refer it to the courts having competent jurisdiction in Vietnam, unless a signed agreement or Order provides for another lawful dispute-resolution method.

23. General Provisions

Entire agreement

These Terms, the applicable Order and any signed licence agreement constitute the agreement concerning the relevant resources and replace earlier discussions or representations concerning the same subject.

Severability

If any provision is found invalid or unenforceable, the remaining provisions will continue in effect. The invalid provision will be interpreted or modified only to the extent necessary to make it enforceable.

No waiver

Failure to enforce a provision immediately does not waive the right to enforce it later.

Assignment

An Institution may not transfer its licence or rights to another organisation without written permission.

Dew Bright may transfer its rights and obligations as part of a legitimate business transfer, reorganisation or succession, subject to applicable law.

Relationship

These Terms do not create an employment, partnership, franchise, agency or joint-venture relationship between Dew Bright and an Institution.

Section headings are included for readability and do not alter the meaning of these Terms.
